Williams & Connolly’s lawyers have represented both buyers and sellers in business combinations, including mergers and consolidations, equity purchases and asset transfers of all types and sizes. These include negotiated acquisitions of publicly and privately held companies engaged in all areas of business, including the following sectors: entertainment, lodging, banking and thrift, sports teams and sports management, food services, travel, real estate brokerage and property management, medical equipment, remote sensing technology, manufacturing, gaming, media and transportation. The firm has also represented clients in hostile acquisitions, such as tender offers and proxy contests.
For example, the firm represented the late Sidney Harman in his acquisition of Newsweek magazine and the subsequent combination of that entity with The Daily Beast website. It regularly represents public affairs companies in negotiating sales of these businesses. Currently it is representing the buyer in a management buyout of a hedge fund and the seller of an established design services firm, among others.
