On August 8, 2018, the United States Court of Appeals for the Fourth Circuit ruled in favor of Williams & Connolly LLP client Liberty Tax Service. The court of appeals vacated in part the district court’s ruling, after a bench trial, that Liberty owed damages of over $2 million for breach of contract to its franchisee Gregory Aime. The court of appeals held that Aime was not entitled to lost profits based on the purported extension of the parties’ contract because the purported extension lacked consideration and so could not be an enforceable contract.
